About the Company

Identiv, Inc. develops, manufactures, and supplies specialty Internet of Things (IoT) solutions tailored for the healthcare industry and other high-value end markets. The Company's specialty radio-frequency identification (RFID) IoT devices, including near field communication (NFC), high frequency (HF), dual frequency (DF), ultra-high frequency (UHF), and Bluetooth Low Energy (BLE), are attached to or embedded into physical items, such as syringes, pill containers, wine bottles, and sports jerseys, providing those items with a unique digital identity. These devices enable unique and secure digital interaction with the physical world while simultaneously capturing relevant data which can then be analyzed and managed by the end customer. The Company sells its products across multiple industries, focusing on pharmaceutical and medical devices, consumer electronics, mobile devices, wine and spirits, luxury goods, libraries, and logistics. The Company was founded in 1990 in Munich, Germany and incorporated in 1996 under the laws of the State of Delaware.

Revenue Generation

The Company generates revenue primarily through the sale of specialty RFID and BLE enabled devices, including inlays, tags, and labels, to customers in the Americas, Europe and the Middle East, and Asia-Pacific regions. Revenue is recognized upon transfer of control of promised products to customers in an amount that reflects the consideration the Company expects to receive in exchange for those products. The Company sells its products through a channel business model, utilizing partners such as RFID converter companies, system integrators, and solution providers who market their services to original equipment manufacturers (OEMs). The Company does not sell its products directly to the end customer.

Investment Thesis
Executive SummaryIdentiv is a cash-rich turnaround play currently trading at a 40% discount to its net liquidation value following a radical divestiture of its legacy security business. The market is pricing the company as a failing hardware manufacturer, ignoring a $126.6M cash fortress and a 100% completed manufacturing transition to Thailand that is designed to reset gross margins from 1.3% to over 26%. With activist Bradley Radoff (9.8%) and Bleichroeder LP (19.9%) pressuring for a private market exit, the downside is protected by a tangible asset floor while the upside is a highly asymmetric bet on IoT scalability.
